Terms of Service

These Terms of Service (“Terms”) govern your use of Zoogbase, a professional workspace for matchmakers operated by Yolla LLC, a New York limited liability company (“we,” “us,” or “our”). By creating an account or using Zoogbase at zoogbase.com, you agree to these Terms.

Who Zoogbase Is For

Zoogbase is a tool for professional matchmakers. It is not a dating app, not a consumer social network, and not a platform for individuals to browse or connect with other singles directly. Access is limited to matchmakers who use Zoogbase to manage their professional practice.

By signing up, you represent that you are a professional matchmaker (or are evaluating Zoogbase for that purpose) and that you will use the platform solely to manage your clients and matches.

Subscriptions and Billing

Zoogbase offers a 21-day free trial with no credit card required. After your trial ends, continued access requires a paid subscription. Subscription plans are billed monthly or annually, as selected at checkout. Prices are displayed in USD.

All fees are charged in advance for the billing period. You authorize us to charge your payment method at the start of each billing period until you cancel.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain full access until then. We do not prorate partial months.

Refunds

Refunds are available within 7 days of your first charge. After that, all charges are final and non-refundable. See our Refund Policy for full details.

Acceptable Use

You agree not to:

• Use Zoogbase for any purpose other than professional matchmaking services
• Share your account credentials with others
• Upload or store data you do not have the right to use
• Attempt to access another matchmaker’s data or accounts
• Use Zoogbase to spam, harass, or deceive clients or other users
• Reverse engineer, scrape, or attempt to extract data from the platform

We reserve the right to suspend or terminate accounts that violate these terms, without prior notice in cases of serious or repeated violations.

Your Data

Client profiles and match records you create in Zoogbase belong to you. We store this data on your behalf and do not use it for any purpose other than providing the service. You can export or delete your data at any time.

Intellectual Property

Zoogbase and its underlying software, design, and trademarks are owned by Yolla LLC. These Terms do not grant you any rights to use our brand, logo, or technology beyond what is necessary to use the service.

Limitation of Liability

To the fullest extent permitted by law, Yolla LLC’s total liability for any claim arising out of or related to these Terms or your use of Zoogbase is limited to the greater of (a) the amount you paid us in the 3 months preceding the claim or (b) $100.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, even if we have been advised of the possibility of such damages.

Zoogbase is provided “as is.” We make no warranties, express or implied, regarding uptime, accuracy, or fitness for a particular purpose.

Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a notice within the product. Continued use of Zoogbase after changes take effect constitutes acceptance of the revised Terms.
